d) Communicating, transmitting, or posting material that reveals trade secrets, unless you own them or have the owner's permission to communicate, transmit or to post such material;
e) Attempting to interfere in any way with the Website or with Safe Pathways' networks or network security, or attempting to use the Website to gain unauthorized access to any other computer system;

attempting to interfere or interfering with the operation of the Website, our providing services to any other visitors to the Website, our hosting provider or our network including, without limitation, via means of submitting a virus to the Website, overloading, "flooding", "mail bombing" or "crashing" the Website; and

i) Otherwise using the Website in any manner deemed inappropriate by Safe Pathways in its sole and unfettered discretion.

TO THE FULLEST EXTENT POSSIBLE UNDER APPLICABLE LAW, IN NO EVENT SHALL SAFE PATHWAYS, ITS OFFICERS, DIRECTORS, SHAREHOLDERS, EMPLOYEES OR AGENTS BE LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND, WHETHER DIRECT, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL, HOWSOEVER CAUSED, INCLUDING BUT NOT LIMITED TO ANY LOSS OF DATA, LOST PROFITS, LOST SAVINGS, LOSS OF GOODWILL, LOST BUSINESS, LOSS OF USE OR LACK OF AVAILABILITY OF FACILITIES INCLUDING COMPUTER RESOURCES, ROUTERS AND STORED DATA, ARISING OUT OF OR IN CONNECTION WITH THE USE OF THE WEBSITE INCLUDING, WITHOUT LIMITATION, THE MATERIALS, AND ANY CONTENT OR INFORMATION PROVIDED THROUGH THE WEBSITE, EVEN IF SAFE PATHWAYS OR ANY OF ITS LAWFUL AGENTS, CONTRACTORS OR EMPLOYEES HAVE BEEN PREVIOUSLY ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR CLAIM.
IN THE EVENT THAT THE LAW RESTRICTS SAFE PATHWAYS FROM DISCLAIMING RESPONSIBILITY IN THIS MANNER, SAFE PATHWAYS WILL BE RESPONSIBLE UP TO THE AMOUNT EQUAL TO ONE CANADIAN DOLLAR, AND NO MORE.
Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, gross negligence, willful misconduct, or any liability that cannot be excluded or limited under applicable law.
YOU AGREE TO INDEMNIFY, DEFEND AND HOLD HARMLESS SAFE PATHWAYS, OUR SUBSIDIARIES, AFFILIATES, PARTNERS, OFFICERS, DIRECTORS, AGENTS, CONTRACTORS, LICENSORS, SERVICE PROVIDERS, SUBCONTRACTORS, SUPPLIERS AND EMPLOYEES FROM AND AGAINST ANY CLAIM OR DEMAND, INCLUDING REASONABLE ATTORNEYS' FEES, MADE BY ANY THIRD PARTY DUE TO OR ARISING OUT OF OR RELATING TO (i) YOUR MISUSE OF THE WEBSITE; (ii) YOUR BREACH OF THESE TERMS; OR (iii) YOUR VIOLATION OF APPLICABLE LAW OR OF THE RIGHTS OF A THIRD PARTY.

a) Amendments. These Terms may be amended or modified by Safe Pathways, in its sole and unfettered discretion, by posting revised Terms or by sending the updated Terms to you in Safe Pathways' sole and unfettered discretion, and such amendments shall be effective as of the date of posting or delivery, unless otherwise stated. Any continued use of the Website by you following such amendments constitutes acceptance of the amended Terms.
b) Assignment. You may not assign your rights or obligations under these Terms without Safe Pathways' prior written consent, in its sole and unfettered discretion. Safe Pathways may assign these Terms in its sole and unfettered discretion, including in connection with a merger, acquisition, reorganization, or sale of its assets.
c) Binding effect. These Terms inure to the benefit of and are binding upon you and upon your heirs, successors and assigns (where assignment is permitted).
d) Entire Agreement. These Terms, together with all other agreements, terms or conditions incorporated or referred to herein constitute the entire agreement between you and Safe Pathways with respect to the Website. No other agreement, whether written or oral, shall be in force with regards thereto.
e) Headings. The headings used herein are inserted purely for the purposes of convenience or reference and do not affect the construction or interpretation of the Terms.
f) Governing Law and Jurisdiction. These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to any conflict of law principles which would cause the application of any other law. You agree to submit to the exclusive jurisdiction of the Ontario courts located in Toronto for any dispute arising out of the Terms.
g) Language Clause. You hereby acknowledge that you have reviewed the French version of the Terms available on our Website (safepathways.com/fr-ca/conditions) and that you have reviewed each of the provisions contained therein. You have expressly requested, and it is your desire to be exclusively bound by, this English version of the Terms. You consent to legal proceedings relating to the Terms and documents relating thereto being in English. h) No Waiver. Safe Pathways' failure to enforce any provision(s) of the Terms or to respond to a breach by you or any third party of the Terms shall not in any way waive Safe Pathways' right to subsequently enforce any of the Terms or to act with respect to other similar or future breaches.
